Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Saspo Inc. ("Saspo," "we," "us," or "our") governing your access to and use of the Saspo platform, including our website, applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access the Service.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of the organization.

Account Registration and Security

Creating an Account: To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security: You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to immediately notify us of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Account Responsibility: You are solely responsible for all activities that occur under your account, whether or not you authorized such activities. You agree not to share your account credentials with any third party.

Subscription Plans and Pricing

Subscription Tiers: Saspo offers multiple subscription plans with varying features and usage limits. Current pricing and plan details are available at https://saspo.com/pricing.

Payment Terms: Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as expressly stated in these Terms or required by law.

Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We will charge your payment method on file for the renewal period.

Price Changes: We reserve the right to modify our pricing at any time. We will provide you with at least 30 days' notice before any price increase takes effect. Your continued use of the Service after the price increase constitutes acceptance of the new pricing.

Free Trial: We may offer a free trial period for new users. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends. We reserve the right to modify or terminate free trial offers at any time.

Permitted Use and Restrictions

License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

Prohibited Activities: You agree not to:

• Violate any applicable laws, regulations, or third-party rights

• Use the Service to send spam, unsolicited marketing, or fraudulent communications

• Attempt to gain unauthorized access to any part of the Service or related systems

• Reverse engineer, decompile, or disassemble any aspect of the Service

• Use automated systems (bots, scrapers, etc.) to access the Service without permission

• Interfere with or disrupt the integrity or performance of the Service

• Remove, obscure, or alter any proprietary notices on the Service

• Resell, lease, or provide access to the Service to third parties without authorization

• Use the Service to store or transmit malicious code, viruses, or harmful materials

• Impersonate any person or entity or misrepresent your affiliation

• Collect or harvest any information about other users without consent

Compliance with Anti-Spam Laws: You agree to comply with all applicable anti-spam laws, including the CAN-SPAM Act, GDPR, and CASL. You are solely responsible for obtaining proper consent before sending marketing communications to recipients.

Intellectual Property Rights

Our Intellectual Property: The Service, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, is owned by Saspo or our licensors and is protected by United States and international copyright, trademark, patent, and other intellectual property laws.

Your Content: You retain ownership of all content, data, and materials you upload, submit, or transmit through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such content solely for the purpose of providing and improving the Service.

Feedback: If you provide us with any feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

Data Privacy and Security

Privacy Policy: Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

Data Security: We implement industry-standard security measures to protect your data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

Data Processing: We may process your data in the United States and other jurisdictions where we or our service providers operate. By using the Service, you consent to the transfer and processing of your data in these jurisdictions.

AI-Generated Content

AI Features: Saspo uses artificial intelligence and machine learning to provide features such as content generation, audience segmentation, and predictive analytics.

No Guarantee of Accuracy: AI-generated content is provided as a tool to assist you. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content. You are solely responsible for reviewing, editing, and approving all content before use.

User Responsibility: You are responsible for ensuring that any AI-generated content complies with applicable laws, regulations, and third-party rights. You agree not to use AI features to generate content that is unlawful, harmful, misleading, or infringes on third-party rights.

Third-Party Integrations

Third-Party Services: The Service may integrate with third-party services such as email providers, CRM systems, and analytics platforms. Your use of such integrations is subject to the terms and conditions of those third-party services.

No Endorsement: We do not endorse or assume responsibility for any third-party services. We are not liable for any issues arising from your use of third-party integrations.

Data Sharing: When you enable third-party integrations, certain data may be shared with those services as necessary to provide the integration functionality. You consent to such data sharing when you enable integrations.

Service Availability and Modifications

Uptime: While we strive to provide continuous availability, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We may experience downtime for maintenance, upgrades, or unforeseen circumstances.

Service Modifications: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

No Obligation to Maintain Features: We have no obligation to maintain any specific features or functionality. Features may be added, modified, or removed in our sole discretion.

Termination

Termination by You: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

Termination by Us: We may suspend or terminate your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms, engage in fraudulent activity, or fail to pay fees when due.

Effect of Termination: Upon termination, your right to access and use the Service will immediately cease. We may delete your account and all associated data after termination. We are not obligated to retain any User Content after termination.

Survival: Sections of these Terms that by their nature should survive termination will survive, including provisions regarding intellectual property, disclaimers, limitations of liability, and dispute resolution.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SASPO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SASPO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOU ASSUME ALL RISK FOR ANY DAMAGE THAT MAY RESULT FROM YOUR USE OF OR ACCESS TO THE SERVICE.

Indemnification

You agree to defend, indemnify, and hold harmless Saspo and its affiliates, officers, directors, employees, agents, and licensors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service

• Your violation of these Terms

• Your violation of any rights of third parties

• Your User Content

• Your violation of any applicable laws or regulations

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

Dispute Resolution and Arbitration

Informal Resolution: Before filing a claim, you agree to contact us at legal@saspo.com to attempt to resolve the dispute informally. We will attempt to resolve disputes through good-faith negotiations.

Binding Arbitration: If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association (AAA). The arbitration shall take place in San Francisco, California, or another mutually agreed location.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and Saspo individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions: Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Saspo regarding the Service.

Amendments: We may modify these Terms at any time by posting the updated Terms on the Website. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms to any affiliate or successor.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, labor disputes, or government actions.

Export Compliance: You agree to comply with all applicable export and import control laws and regulations in your use of the Service.
